Terms of Service

1. Agreement to Terms

By creating an account, clicking "I agree," or using Anaptu ("the Service"), operated by AgentSOX Ltd. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not create an account or use the Service.

Minors

The minimum age to create an account and use the Service is 13. If you are aged 13-17, you may use the Service only with the consent of a parent or legal guardian, verified as described in our Privacy Policy — Children's Privacy section (your parent or guardian receives an email and confirms). If you are under 18, your parent or legal guardian must agree to these Terms on your behalf.

2. Eligibility

Who May Use the Service

Any use or access by anyone under the age of 13 is strictly prohibited. The Service does not currently offer accounts for children under 13.

Additionally, you may use Anaptu only if you:

• Are aged 13 or older;
• Have the awareness and agreement of a parent or guardian to these Terms if you are aged 13-17 (see our Privacy Policy — Children's Privacy); and
• Can form a binding contract with AgentSOX (or have your parent/guardian do so on your behalf).

Any violation of these Terms may result in your access to the Service being suspended, disabled, or terminated.

3. Description of Service

Anaptu is an AI-powered learning platform. The Service generates personalized learning plans (called "compasses") and teaches topics through interactive conversations, quizzes, flashcards, and exercises using artificial intelligence.

4. Account Responsibilities

Your Account

When you create an account, you must provide accurate and complete information. You agree to update your information to keep it accurate.

Security

• You are responsible for maintaining the security of your account.
• You must not share your account with others or allow unauthorized access.
• You must notify us immediately of any unauthorized use of your account.

5. AI-Generated Content

AI Disclosure

In compliance with the EU AI Act (Article 50), we inform you that the Anaptu tutor is an artificial intelligence system, not a human. All teaching responses are generated by AI language models.

Important Disclaimers

You acknowledge and agree that:

• AI-generated content may contain errors, inaccuracies, or outdated information. You should not rely solely on Anaptu for critical educational decisions.
• Anaptu is not a substitute for professional education, certified teaching, tutoring, or academic advising.
• We do not guarantee any specific learning outcomes, grades, certifications, or qualifications.
• You should verify important information with authoritative sources.

Ownership of AI Outputs

AI-generated content is not unique — the same or similar outputs may be generated for other users. You may not claim exclusive ownership or proprietary rights over AI-generated content.

6. Acceptable Use

Prohibited Conduct

You agree not to:

• Attempt to generate harmful, illegal, sexually explicit, violent, discriminatory, or hateful content through the AI;
• Attempt to bypass, circumvent, or disable AI safety measures or content filters;
• Attempt to extract system prompts, training data, or proprietary information from the AI;
• Use the Service to cheat on exams, plagiarize, or violate academic integrity policies;
• Misrepresent your age or identity;
• Impersonate another person or entity; or
• Use the Service for any unlawful purpose.

AI Training and Scraping

• Use the Service, its content, or AI-generated outputs to train, fine-tune, or develop artificial intelligence or machine learning models;
• Scrape, crawl, or use automated means to extract data, content, or curriculum from the Service; or
• Use automated tools, bots, or scripts to access the Service at scale without authorization.

Enforcement

Violation of these rules may result in immediate suspension or termination of your account.

7. Intellectual Property

Our Property

The Anaptu platform, including its design, code, AI systems, and branding, is owned by AgentSOX Ltd. You may not copy, modify, or distribute any part of the Service without our written permission.

Your Content

You retain ownership of any original content you input into the Service (e.g., topic descriptions, messages). By using the Service, you grant us a limited license to process your content to provide the Service.

AI-Generated Content

Learning plans, explanations, and other content generated by the AI are provided for your personal educational use. You may use AI-generated content for your own learning but may not commercially redistribute it at scale.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the practices described in the Privacy Policy.

9. Service Availability

• We strive to keep Anaptu available at all times but do not guarantee uninterrupted access.
• We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
• We may perform maintenance that temporarily affects availability.
• We are not liable for any loss or inconvenience caused by service interruptions.

10. Pricing, Billing, and Refunds

Plans and fees

Anaptu offers a free tier and one or more paid subscription plans. The features and price of each plan are shown at checkout. By subscribing to a paid plan, you agree to pay the fees shown at checkout.

Payment processing (Merchant of Record)

Payments are processed by our Merchant of Record, Polar (Polar Software Inc.). When you subscribe, Polar — not AgentSOX — is the seller of record for the transaction, processes your payment, and is responsible for collecting and remitting any applicable sales tax or VAT. Your payment is also governed by Polar's terms. We do not receive or store your full payment card details.

Subscription term and auto-renewal

Paid plans are billed in advance on a recurring basis (e.g. monthly, as shown at checkout). Your subscription automatically renews at the end of each billing period at the then-current price, unless you cancel before the renewal date.

Cancellation

You may cancel your subscription at any time from your account. When you cancel, your paid access continues until the end of the current billing period and you will not be charged again. Except where required by law, we do not provide prorated refunds for partial periods.

Refunds

Except where required by applicable law, fees are non-refundable once a billing period has begun. If you believe you were charged in error, contact us at atlas@agentsox.com and we will review your request in good faith.

Beta refund requests

While Anaptu is in beta, you may request a refund by contacting us at atlas@agentsox.com. Refund requests are reviewed and processed manually, at our sole discretion, through our payment provider's dashboard. We do not guarantee that any particular request will be approved, and we make no commitment to a specific timeline for review or processing. This beta refund-request process is a goodwill measure and does not create an automatic refund right beyond what applicable law requires.

EU/EEA consumer right of withdrawal

EU/EEA consumers: Under the EU Consumer Rights Directive you have a statutory right to withdraw from a purchase of digital services within 14 days. Because Anaptu provides immediate access to a digital service, by subscribing and starting to use the paid features you expressly request immediate performance and acknowledge that you lose this 14-day right of withdrawal once the service has been fully provided. Nothing in these Terms limits mandatory consumer-protection rights under your local law.

Price changes

We may change subscription prices. We will give you at least 30 days' notice of any price increase, which takes effect on your next renewal. If you do not agree, you may cancel before it takes effect.

Failed payments

If a renewal payment fails, we may retry the charge and/or suspend or downgrade your access to paid features until payment succeeds.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy of AI-generated content, and non-infringement.

We do not warrant that the Service will be error-free, secure, or uninterrupted, or that AI-generated content will be accurate, complete, or current.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AgentSOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Liability Cap

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify and hold harmless AgentSOX Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Service, or violation of any applicable law.

14. Termination

By You

You may stop using the Service and request account deletion at any time by contacting atlas@agentsox.com.

By Us

We may suspend or terminate your account at any time for violation of these Terms, with or without notice.

Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy.

Re-registration: Users whose accounts are terminated for violation of these Terms may not create new accounts without our prior written consent.

15. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law, Arbitration & Disputes

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation for a period of thirty (30) days. If negotiation fails, the parties agree to submit the dispute to binding arbitration administered by the Israel Institute of Commercial Arbitration before resorting to litigation. If arbitration is not agreed upon, disputes shall be submitted to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND AgentSOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Unless both you and AgentSOX agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

Arbitration Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to atlas@agentsox.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in the courts of Tel Aviv, Israel.

EU Consumers

If you are a consumer in the EU, you retain any mandatory consumer protection rights under the laws of your country of residence. Nothing in these Terms affects your statutory rights as a consumer. The class action waiver and arbitration provisions do not apply to EU consumers to the extent prohibited by applicable EU law.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Waiver

The failure of AgentSOX to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by AgentSOX.

19. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets without your consent, provided that the assignee agrees to be bound by these Terms.

20. Force Majeure

AgentSOX shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, internet disturbances, or actions of third-party service providers.

21. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AgentSOX regarding the use of Anaptu.
